The SAP-Cloud contract consists of 4 elements: order form, description of cloud service, data processing contract and general terms of sale. The order form, the data processing agreement and the terms and conditions of sale are actually the same for each cloud service in the SAP price list, while the description of the cloud service is a product-specific collection of documents. It is more detailed than a statement of principle, but less than a full-fledged contract. Its aim is to find the fundamental compromises necessary to enable the parties to develop and conclude a comprehensive agreement that ends the conflict and creates lasting peace.  Many forms of contracts, particularly commercial contracts, generally contain a large number of so-called “boilerplate” clauses (i.e. standard wording clauses that are commonly used). A kind of boilplate clause that is often included in contracts – and which often plays an important role when contracts that have gone wrong are negotiated in straight towers – is the “complete agreement” clause.
A full clause of the contract is intended to clarify that the agreement between the parties is exclusively what appears in the written contract and prevents the contracting parties from subsequently making claims which, during the negotiation of the contract and prior to the signing of the written contract, constitute additional terms of the contract or some form of ancillary agreement. In other words, the parties include a full contractual clause in the contract to prevent these pre-contract and guarantee statements from complying with the contract. A complete contractual clause often contains the following: in the context of contracting, a framework agreement is an agreement between one or more companies or organisations “with the aim of setting the conditions for granting for a certain period of time, including with regard to the price and, if applicable, the quantity provided”. This agreement [and, if applicable, the list of other relevant agreements] constitutes the whole agreement between the parties and replaces and nulls all previous drafts, agreements, agreements and agreements between them, either in writing or orally, on this subject. In the negotiations, a framework agreement is an agreement between two parties, which acknowledges that the parties have not reached a final agreement on all issues that are relevant to the relations between them, but that they have agreed on enough issues to move relations forward, agreeing further details in the future.
